PE/VC Partnership Agreements Study 2010-2011

Investors have never had so much leverage when it comes to negotiating the terms of venture capital and buyout limited partnerships. And so the question on the mind of every general partner thinking about its next fund: What’s the new “2 and 20”?’

Thomson Reuters, publisher of Buyouts Magazine, Venture Capital Journal and European Venture Capital Journal, embarked in early 2009 on one of the largest studies ever undertaken of U.S. and European limited partnerships. More than 150 firms filled out a detailed, 100-question survey, covering five main areas of partnership terms: fund formation and operation, fees and expenses, distributions and profit-sharing, LP reporting and corporate governance.

The resulting study, to be published in December 2009, promises to cover every hot-button area of today’s partnership negotiations, from management fees to key-person provisions, from distribution waterfalls to GP clawbacks. In addition, the authors enlisted an all-star advisory board, whose job is to review our findings, and to provide predictions on where they think individual terms and conditions are heading. Incorporated into the report, those predictions will offer a glimpse at where partnership terms are heading in the months ahead.
